THIS IS AN AGREEMENT BETWEEN YOU AND TIMEMD.COM, LLC GOVERNING THE ACCESS AND USE OF THE TIMEMD TIME-TRACKING AND SCHEDULING SERVICE (THE "SERVICE") AND THE TIMEMD.COM WEBSITE (THE "SITE"). PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SERVICE OR THIS SITE. SINCE THESE TERMS OF USE MAY CHANGE, YOU SHOULD VISIT THIS PAGE AND REVIEW THIS AGREEMENT FROM TIME TO TIME TO REVIEW THE THEN-CURRENT TERMS BECAUSE THEY ARE BINDING ON YOU.

BY USING OR DOWNLOADING FROM THE SITE OR REGISTERING TO USE THE SERVICE, YOU ACKNOWLEDGE THAT YOU ARE AN ADULT (18 YEARS OR OLDER), YOU HAVE READ AND UNDERSTAND THIS AGREEMENT AND YOU AGREE TO ALL PROVISIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE PROVISIONS, YOU SHOULD NOT DOWNLOAD ANY MATERIALS FROM THIS SITE, USE THE SITE, USE THE SERVICE OR REGISTER TO USE THE SERVICE.

IF YOU REGISTER TO USE THE SERVICE ON BEHALF OF A BUSINESS ENTITY OR OTHER ORGANIZATION, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND SUCH ENTITY OR ORGANIZATION TO THE PROVISIONS OF THIS AGREEMENT. THE TERM "YOU " REFERS TO THE INDIVIDUAL OR ENTITY OR ORGANIZATION, AS APPLICABLE, THAT REGISTERS FOR OR USES THE SERVICE.

1. GRANT OF NON-TRANSFERABLE LICENSE When you complete the registration process and pay the start-up fee, we grant to you one (1) personal, non-exclusive, non-transferable, non-sublicensable license to access and use the Service including all Software and materials contained within the Service (and related documents, formats, worksheets, products and software contained in or made available through the Service (the "Content") solely for your own internal business purposes and subject to your compliance with all provisions of this Agreement. We expressly reserve all rights not expressly granted to you. Our allowing you access to and use of the Service will include a browser interface and data encryptions, and temporary storage.

2. RIGHT TO CHANGE We reserve the right at any time, without notice to you, to change or discontinue any aspect or feature of the Service or the Site including, without limitation, the Content, hours of availability, and equipment needed or for access to or use of the Service of the Site.

3. FEES, CHARGES AND TAXES 

(a) You agree to pay our fees and charges for the Service according to our schedule of fees and charges in effect from time to time as reflected on our Site or in a notice to you.
(b) You agree to pay and report directly to the respective government agencies all state and local sales, use, property, and other taxes assessed with respect to your subscription and use of the Service except for taxes measured by our net income. We reserve the right, in the event you fail to pay or report such taxes timely, to charge and collect from you any or all of such taxes.

(c) You will incur no fees or charges until your account is activated. To activate your account, you must pay, in advance, the start-up fee plus the charges for the first billing period for all users registered on your account. Once your account is activated, you must pay, at the then current rate every month, in advance, for a monthly subscription, based on the number of users registered on your account.

(d) If you increase the number of maximum authorized users on your account, you will be charged additional fees based on our schedule of fees and charges in effect at the time of the change, on a pro-rated basis over the remainder of the current subscription term.

(e) If you elect to purchase additional storage or features, you agree to pay for them according to our schedule of fees and charges in effect from time to time as reflected on our Site or in a notice to you. Such additional storage or features may be suspended, archived or purged from our system if your account becomes delinquent.

(f) We may change our fees and charges for the Service or institute new charges at any time, upon at least 30 days' prior notice to you.

(g) We may impose a charge to restore archived data related to delinquent accounts.

(h) If you cancel you subscription for the Service, your authorized representative must notify us (on official company letterhead) by postal mail and you will still be liable for all fees and charges up to the effective date of such cancellation or the date we receive such notice, whichever is later. We will not prorate any fees or charges for a partial period's usage.

(i) If you re-activate an account that was previously de-activated due to non-payment, a re-activation fee will be charged.


4. PAYMENTS 

(a) All payments by you must be by electronic funds transfer or a valid credit card, approved by us, or by other advance payment arrangement approved by us.
(b) All payments must be in U.S. dollars

(c) Payment for our fees and charges will be automatically withdrawn from your authorized bank account by electronic funds transfer or by charging your authorized credit card.

(d) If your access to the Service is authorized under an information provider agreement, payment will be in accordance with such agreement.

(e) In lieu of payment, we may choose to bill through invoices, in which case we will give you notice of such change and full payment for an invoice issued in any given month must be received by us no later than 30 days after the mailing date of the invoice.


5. LATE PAYMENTS AND NON-PAYMENT 

(a) Except for amounts disputed specifically in writing to us and in reasonable good faith, any amount not paid to us when due, including any amount that cannot be withdraw from your authorized bank account or charged to your authorized credit cart for any reason, shall bear interest after the due date at the rate of 1.5% per month until paid and, in any such event, we have the right to suspend or terminate your account and your access to the Service and to terminate this Agreement without any liability or any further obligation to you.

(b) Your account with us will be considered delinquent if your credit card company refused for any reason to pay any amount due and that amount remains unpaid at the beginning of the next accounting cycle.

(c) If you believe we have billed you incorrectly, you must contact us within 10 days after the closing date on the first billing statement in which the alleged error or problem appeared, in order to receive an adjustment or credit. Inquires should be directed to billing@timemd.com.


6. CUSTOMER DATA We do not own any data or information that you submit to the Service ("Data"), except for "submissions" under Paragraph 14 of this Agreement, unless we specifically tell you otherwise before you submit it. You, not us, shall have sole responsibility for the accuracy, validity, quality, integrity, legality, reliability, appropriateness and right to the use of all of your Data and we shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to transmit or store any Data. We will not disclose any information regarding you or your account including any Data, without your prior permission except in accordance with this Agreement.

We may provide certain statistical information, such as usage or user traffic patterns in aggregate form, to third parties, but such information will not include information that could be used to identity specific persons or entities.

Your Internet protocol address is not transmitted with messages sent from your account with us.

We may access your account, including your Data, to respond to service or technical problems or as otherwise provided in this Agreement.

7. RESTRICTIONS AND LIMITATIONS ON USE OF SERVICE 

(a) You are permitted to store, manipulate, analyze, reformat, print, and display the "Content" only for your personal use. Unauthorized use of the Service, or resale of the Service, is expressly prohibited.

(b) You may not copy, modify, publish, broadcast, transmit, rent, license, sell, transfer, make available or distribute the Content to, or for the benefit of, any third party.

(c) You may not remove any copyright, trademark or other proprietary notice from any materials on this Site.

(d) You may not use the Service for any unlawful activities such as, without limitation, storing, distributing or transmitting any unlawful material, attempting to compromise the security of any networked account or site, or making direct or indirect threats of physical harm.

(e) You may not use any Content provided by us or our affiliates or in conjunction with any business or commercial enterprise, except as expressly permitted by this Agreement.

(f) We reserve the right to establish or modify general practices and limits concerning use of the Service, including without limitation, the maximum number of days that Content will be retained by the Service and the maximum amount of storage space that will be allotted on our servers on your behalf.

(g) We shall not be responsible for any unauthorized access to, or alteration of, your transmissions or data, or any material, information or data sent or received by you, regardless of whether the data is actually received by us, or any transactions entered into by you through the Service or your failure to abide by this Agreement.

(h) You acknowledge that it is possible that electronic communications transmitted through the Service may be accessed by unauthorized third parties when communicated between you and us using the Internet, other network communication facilities, telephone or any other electronic means.


8. USER RESPONSIBILITIES You shall be responsible:

(a) For your compliance with this Agreement, as well as the compliance of your employees, officers, agents and any third party you allow or invite to use the Service through your account.

(b) To not directly, or allow others to, modify the Software, sublicense or charge others to use or access the Software or the Service, reverse engineer, decompile, disassemble, re-engineer, or otherwise discover, re-create, or attempt to discover or re-create the software used in the Service or its source codes.

(c) To obtain, install and maintain all telephone or other communications services and facilities, computer hardware, computer system software and other equipment needed for access to and use of the Service and the Site, as well as all charges related thereto.

(d) To provide to us all times valid credit card or electronic funds transfer account information and instructions.

(e) To provide to us current and accurate billing information, including your legal name, address and telephone numbers and to update this information within 30 days of any change to it.

(f) To provide and maintain all backup systems, software and hardware for your Data and to not use the Service for archiving or "back-up" purposes.

(g) For any and all activities that occur under your account and for insuring that you and each of your authorized users exit or logoff from your account at the end of each session of use.

(h) To not disclose your password(s) to any third party not authorized to use the Service and to notify us immediately of any unauthorized use of your password or account or any other breach of security that you suspect or of which you become aware.

(i) To use your best efforts to immediately stop any copying or distribution of Content that you suspect or of which you become aware.

(j) To abide by all applicable local, state and federal laws and regulations in connection with your use of the Service.

(k) To not use the Service to:

(i) send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, distributions lists, pyramid schemes, or any other form of duplicative or unsolicited messages, whether commercial or otherwise;

(ii) harvest, collect, get, gather or assemble information or data regarding others users, including email addresses, without their consent;

(iii) transmit through or post on the Service unlawful, harassing, libelous, abusive, tortuous, defamatory, pornographic, threatening, harmful, invasive of another's privacy, vulgar, obscene or otherwise objectionable material of any kind or which is harmful to minors in any way;


(iv) transmit any material that may infringe any intellectual property rights or other rights of third parties, including trademark, copyright or right of publicity;

(v) transmit any material that contains software viruses or other harmful or deleterious computer code, files or programs such as Trojan horses, worms, time bombs, or cancel bots;

(vi) interfere with or disrupt servers or networks connected to the Service or violate the regulations, policies or procedures of such networks;

(vii) attempt to gain unauthorized access to the Service, other accounts, computer systems or networks connected to the Service, through password mining or any other means;

(viii) harass or interfere with another user's use and enjoyment of the Service;


(l) to use third party software, including, without limitations, "browser" software that supports a data security protocol compatible with the protocol used by us for the Service and the Site and to follow our log-on procedures for the Service that supports such protocols. You acknowledge that we are not responsible for notifying you of any upgrades, fixes, or enhancements to any such software or for any compromise of data transmitted across computer networks or telecommunications facilities including, without limitation, the Internet.

(m) To comply fully with our privacy policy, the statement of which is available on the Site and is incorporated herein by this reference.

(n) To regularly review this Agreement on the Site or through your use of the Service.


9. USER ACCOUNT A user account is required to access the Service and may be accessed and used only by those authorized individuals who are registered with us. To obtain a user account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the registration form and by paying our start-up fee and any other charges required for registration. In registering for the Service, you agree to submit accurate, current and complete information and to promptly update such information from time to time as needed. Should we suspect that any such information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and access to the Service. You will choose a personal, non-transferable password for access to the Service.

10. PROPRIETARY RIGHTS Except for the license granted herein, you have no right, title or interest in or to the Service or any Content and we retain all proprietary right, title and interest, including copyright and all other intellectual property rights, in and to the Service and Content including, without limitations, text, images, multimedia data, and the business process, procedures, methods and techniques embodied in the Service. Names of other companies and products mentioned on the Site or in use of the Service may be the trademarks of their respective owners. The term "TimeMD" and the TimeMD logo and other TimeMD trademarks, service marks, logos and product and services names are trademarks belonging to us. You agree not to display or use any of such marks in any manner without our prior written permission.

11. LINKS TO THIRD PARTY SITES Links to other Internet websites may be accessible through use of the Service. We provide these links to you only as a matter of convenience. Since we do not control those sites, we do not endorse any sites that are linked through the Service, and in no event shall we be responsible for any content, advertising, products, services or other materials on or available through such websites. We reserve the right to terminate any link or linking program at any time. If you decide to access any of the third party sites linked to the Site, you do so entirely at your own risk.

12. INTERRUPTION OF SERVICE We will not be liable for any damage, loss, cost or expense arising out of or related to interruption of, or defects in transmission of the Service including, without limitation, interruptions or defects due to power or communication failures, your inability to access the Internet or any part thereof, equipment modifications, upgrades, relocations or repairs, or for any other reason. No reduction of payments will be made in the case of temporary interruption of or defects in transmission of the Service.

We shall not be liable for interruption of or delays in transmission of the Service or use of the Site caused by acts of God, war, labor disputes, civil commotion, fire, flood, or other casualty, weather, riots, acts of government, government regulations or control and our performance shall be excused for the period of any delay due to the same.

13. THIRD PARTY INTERACTION In your use of the Service, you may enter in to correspondence with, purchase good an/or services from, or participate in promotions of third party advertisers or sponsors of goods and/or services. Any such activity, in any terms, conditions, warranties or representations associated with such activity, is solely between you and such third parties. You agree that we shall have no liability, obligation or responsibility for any loss damage of any sort incurred as a result of any such dealings or as a result of your interaction with such advertisers or sponsors through the Service.

14. SUBMISSIONS We, alone, will own all right, title and interest, including all related intellectual property rights, to any suggestions, ideas, feedback, recommendations or other information provided by you or any user registered through you, related to the Service or the Site (the "Submissions") and you agree to assign such Submissions to us free of charge. We may copy, disclose, distribute and otherwise use such Submissions for all commercial or non-commercial purposes, as we deem appropriate in our sole discretion.

15. INDEMNIFICATION You shall defend, indemnify and hold us (and our parent company, subsidiaries, affiliates, manager, members, employees, attorneys, agents and other representatives) harmless from and against any and all claims, demands, actions, proceedings, costs, damages, losses, liabilities, and expenses (including the Content) or the Site in violation of any law, in violation of any third party rights, or in breach of this Agreement.

16. DISCLAIMER OF WARRANTIES YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE MAKE NO REPRESENTATION, WARRANTY, OR GUARANTEE AS THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, CORRECTNESS, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SERVICE OR ANY CONTENT. WE DO NOT REPRESENT OR WARRANT THAT:

(A) THE USE OF THE SERVICE WILL BE SECURE, TIMELY, UNINTERRUPTED, ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA;

(B) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;

(C) ANY STORED DATA WILL BE ACCURATE OR RELIABLE;

(D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR TO THE MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;

(E) ERRORS OR DEFECTS WILL BE CORRECTED;

(F) THE SERVICE OR THE SERVER(S) THAT MAKES THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.


THE SERVICE AN ALL CONTENT IS PROVIDED TO YOU STRICTLY "AS IS" AND "AS AVAILABLE". ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES WITH RESPECT TO THE SERVICE, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

17. LIMITATION OF LIABILITY IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR ACCESSING THE SERVICE DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIMED INJURY OR DAMAGE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR ANY PERSON INVOLVED IN CREATING, PRODUCING, DISTRIBUTING OR HOSTING THE SERVICE OR THE CONTENT THEREIN WILL BE LIABLE IN CONTRACT, IN TORT, STRICT LIABILITY OR ANY OTHER LEGAL OR EQUITABLE THEORY FOR:

(A) ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR SIMILAR DAMAGES (INCLUDING WITHOUT LIMITATIONS ONLY LOSS OR CORRUPTIONS OF DATA, LOST REVENUE, OR PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, THE SERVICE INCLUDING, WITHOUT LIMITATION, YOUR USE OR INABILITY TO USE THE SERVICE, OR FOR ANY CONTENT OBTAINED FROM OR THROUGH THE SERVICE, EVEN IF WE HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR

(B) THE COST OF PROCURING SUBSTITUTE SERVICES, GOODS, OR TECHNOLOGY.

(C) IN NO EVENT MAY YOU BRING ANY CLAIM OR CAUSE OF ACTION AGAINST US MORE THAN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION ARISES.


THIS LIMITATION OF LIABILITY APPLIES TO ANY DAMAGES CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSIONS, INACCURACY, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION, UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF THE SERVICE, UNDER ANY LEGAL THEORY OR CAUSE OF ACTION.

18. EXCLUSIVE REMEDY Your sole and exclusive remedy, if you are dissatisfied with the Service or with any provisions of this Agreement or with any of our rules, policies, guidelines or practices, is to terminate this Agreement and to discontinue using the Service.

19. TERMINATION OF AGREEMENT This Agreement is for the initial term (month, quarter, annual) selected in your registration and shall automatically renew for similar terms unless either you or we gives the other notice of termination at least thirty (30) days prior to the end of the then-current term. In addition, we may terminate this Agreement immediately, without prior notice or liability, if you breach any provisions of this Agreement including, without limitation, we learn that you provided false or misleading registration information or have made payment by unlawful or fraudulent means, Your payment of the periodic fees and charges to us shall constitute renewal of your subscription at such fees and charges, pursuant to this Agreement. Upon expiration or termination of this Agreement:

(a) you must immediately cease use of the Service and any related software and shall return to us or destroy all copies of such software and related documentation; and

(b) your license to use the Service terminates, your password becomes unusable; and

(c) your account is cancelled, and all of your Content and Data, including archived Data, will be deleted.


Notwithstanding the termination of this Agreement, certain provisions of this Agreement shall survive such as our accrued rights to payment under Paragraph 3, 4, and 5, warranty disclaimers under Paragraph 16, limitations on liability under Paragraph 17, indemnification by you under Paragraph 15, and notices under Paragraph 20, and any other provision hereof where the context of such provision indicates an intent that it will survive the expiration or termination of this Agreement. Termination is not an exclusive remedy and all other remedies will continue available whether or not the license to you is terminated.

20. NOTICE We may give notice to you by means of electronic mail to your email address on record in the account information you furnished to us, or by means of a general notice on the Service, or by written communication sent by first class mail to us (such notice shall be deemed given when received by us) at any time by any of the following methods:

(a) electronic mail to our support email address, which is: support@timemd.com

(b) by letter delivered to us by a nationally recognized overnight delivery service; or

(c) by first class mail, return receipt requested, with postage pre-paid, to us at the following address:

Notice shall be deemed given (a) 24 hours after each respective email is sent, or earlier if actually received earlier by the recipient, unless the sending party is notified that the email address is invalid of the transmission was not successful, (b) one day after deposit with the overnight delivery service, or (c) three days after deposit in the U.S. Mail.

21. MODIFICATION OF TERMS We reserve the right, at any time, to change the provisions of this Agreement or our policies relating to the Service. Any changes to this Agreement of our polices which affect you shall be posted on the Site and will be available through your use of the Service. Continued use of the Service after any such changes to this Agreement or our polices are posted on the Site or in the Service shall constitute your consent and agreement to such changes.

22. GENERAL 

(a) This Agreement shall be governed by and construed in accordance with the laws of the State of Utah and controlling United States federal law, disregarding any rules relating to the choice or conflict of laws of any jurisdiction.

(b) The sole jurisdiction and venue for all disputes, actions, claims or causes of action relate to this Agreement or in connection with the Service shall be the Third District Court in Salt Lake County or the U.S. District Court located in Salt Lake County, State of Utah.

(c) We may assign or otherwise transfer this Agreement, in whole or in part, in our sole discretion, upon notice to you. You may not assign or otherwise transfer this Agreement in whole or in part without our prior written consent and any attempt to do so will be null and void.

(d) This Agreement comprises the entire agreement between you and us and supersedes all prior contemporaneous negotiations, discussions or agreements, whether written or oral, regarding the Service, the Site, or other subject matter contained in this Agreement.

(e) Any failure by us to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision or of any other provision, covenant or condition of this Agreement, unless acknowledged in writing by us.

(f) No person besides you and us may derive any rights whatsoever under this Agreement as a third party beneficiary of this Agreement.
